近日,深交所创业板某上市公司在前次重组终止仅三个月后,再度推出收购计划,拟收购某标的公 司股权。笔者认为,应强化对上市公司重大重组运作的制度约束。 该上市公司主营业务为针织机械,近年来多次尝试跨界并购,涉及半导体、移动互联网等领域。早 在2016年就因高溢价收购两家互联网公司,形成巨额商誉后爆雷,导致2019年和2020年连续出现巨额亏 损。今年2月宣告并购某半导体公司失败后,如今仅隔三个月又再度推出跨界收购计划。值得关注的 是,新标的公司经营范围涵盖近90项业务,与上市公司主营业务相差甚远,且标的公司IPO辅导报告显 示,其内控仍需持续整改。 应该说本案并非孤例。近年来,一些资质平平或存在问题的上市公司频繁运作资产重组,其目的不 排除通过制造重组题材刺激股价短期上涨,但最终往往未能真正提升公司盈利能力,有的甚至导致经营 状况进一步恶化。更有甚者,一些公司在重组过程中存在信息泄露、内幕交易等问题,有的最终沦为半 途而废的忽悠式重组。分析其原因,主要在于: 一是资产重组信息披露几乎无门槛。现行《上市公司重大资产重组管理办法》(下称《办法》)对 重组上市规定了一些规范性门槛条件,如"上市公司及其控股股东、实控人最 ...
