浙江信凯科技集团股份有限公司 董事会秘书工作细则 浙江信凯科技集团股份有限公司 第一章 总 则 第一条 为提高公司治理水平,规范董事会秘书的选任、履职工作,根据《中 华人民共和国公司法》(以下简称"《公司法》")、《中华人民共和国证券法》、 《深圳证券交易所股票上市规则》(以下简称"上市规则")等法律法规和其他 规范性文件,制订本细则。 第二条 董事会秘书为公司高级管理人员,对公司和董事会负责,应忠实、 勤勉地履行职责。 第三条 董事会秘书是公司与证券交易的指定联络人。董事会秘书或代行董 事会秘书职责的人员以公司名义办理信息披露、公司治理、股权管理等其相关职 责范围内的事务。 第二章 董事会秘书的任职资格 第四条 担任公司董事会秘书,应当具备以下条件: (一)董事会秘书应具备履行职责所必需的财务、管理、法律专业知识; (二)董事会秘书应具有良好的职业道德和个人品德,能够忠诚地履行职责, 并具有良好的处理公共事务的能力; (三)董事会秘书应经过相关监管机构组织的专业培训和资格考核。 第五条 具有下列情形之一的人士不得担任公司董事会秘书: (一)《公司法》第一百七十八条规定的任何一种情形; (二)被中国证监会采取 ...
