01 6月9日晚间,新筑股份发布了重大资产重组预案,提出通过"资产出售+资产购买+募集配套资金"的组 合方案实施转型。根据预案,新筑股份将全面退出长期亏损的轨道交通和桥梁功能部件等传统业务板 块。 具体来看,新筑股份拟向四川蜀道轨道交通集团有限公司(蜀道轨交集团)出售旗下四川发展磁浮科技 有限公司(川发磁浮)100%股权,包含对川发磁浮享有的债权以及其他与轨道交通业务相关的部分资 产。同时,拟向四川路桥建设集团股份有限公司(四川路桥)出售成都市新筑交通科技有限公司(新筑 交科)100%股权,以及与桥梁功能部件业务有关的资产和负债。 作为交易的另一端,新筑股份将向控股股东蜀道投资集团(蜀道集团)发行股份并支付部分现金,购买 蜀道集团持有的四川蜀道清洁能源集团有限公司(蜀道清洁能源)60%股权。 此外,新筑股份还计划向不超过35名特定投资者非公开发行股份募集配套资金,用于支付本次收购的现 金对价、相关税费及中介费用,并投入蜀道清洁能源项目建设以及补充上市公司和标的公司的流动资 金、偿还债务等。本次重组交易构成关联交易,方案公布后新筑能源股票已于6月10日复牌交易。 资料显示,新筑股份成立于2001年,2010年在 ...
