智通财经APP讯,中海物业(02669)发布公告,于2025年12月24日,北京中海、中海宏洋及中海海惠(均 为本公司的间接全资附属公司)与中建资产管理(为中建集团的直接全资附属公司)及中建物业管理有限公 司(目标公司)订立增资协议,北京中海、中海宏洋及中海海惠须分别向目标公司出资约为人民币1390万 元、人民币1390万元及人民币1120万元(即合计人民币3900万元)。其中,约为人民币3780万元将用于增 加目标公司的注册资本,约为人民币120万元将用于增加目标公司的资本储备。中建资产管理将放弃其 与增资有关的优先认购权。 于增资完成后,北京中海、中海宏洋及中海海惠将分别持有目标公司约25%、25%及20%经扩大股权(即 合计70%股权)。目标公司将成为本公司的附属公司,其财务业绩将按照香港现行会计准则采用合并会 计法合并入本集团的财务报表。 目标公司现有的物业管理及城市辅助设施管理合约组合,当中涵盖约17个项目,以及目标公司旗下专责 管理该等项目的经验丰富专业团队,其预期可持续带来稳定收入。 由于目标公司自2023年8月起已将其物业管理业务及新建立的城市辅助设施管理业务委托予本集团管 理,且由于中建资产 ...
