对外担保管理制度 (2025 年 10 月) 第一章 总则 第一条 为了维护投资者的合法利益,规范公司的对外担保行为,控制公 司资产运营风险,促进公司健康稳定地发展,根据《中华人民共和国公司法》、 《中华人民共和国证券法》、《上市公司监管指引第 8 号——上市公司资金往来、 对外担保的监管要求》、《上海证券交易所股票上市规则》及《杭州豪悦护理用品 股份有限公司章程》(以下简称《公司章程》)的相关规定,制定本制度。 第二条 本制度所称对外担保是指公司以第三人身份为他人提供保证、抵 押或质押的行为,包括公司对控股子公司的担保。具体种类包括但不限于借款担 保、银行开立信用证和银行承兑汇票担保、开具保函提供担保和为其他债务提供 担保。 第三条 本制度所称"控股子公司"是指根据公司发展战略规划和突出业 务、提高公司核心竞争力需要而依法设立的、具有独立法人资格主体的公司。其 设立形式包括: (1) 独资设立的全资子公司; (2) 与其他公司或自然人共同出资设立的,公司持有其 50%以上的股权, 或者持股 50%以下但能够决定其董事会半数以上成员的组成,或者通 过协议或其他安排能够实际控制的公司。 杭州豪悦护理用品股份有限 ...
