深圳市信维通信股份有限公司 董事、高级管理人员离职管理制度 第一条 为规范深圳市信维通信股份有限公司(以下简称"公司")董事、 高级管理人员离职管理,保障公司治理稳定性及股东合法权益,根据《中华人民 共和国公司法》《上市公司章程指引》等法律法规、规范性文件、深圳证券交易所 监管规则以及《深圳市信维通信股份有限公司章程》(以下简称"《公司章程》") 的有关规定,结合公司实际情况,特制定本制度。 第二条 本制度适用于公司全体董事(含独立董事)及高级管理人员的辞任、 任期届满、退休、罢免或解任等离职情形。 第二章 离职情形与生效条件 第三条 董事可以在任期届满以前提出辞任。董事辞任应向公司董事会提交 书面辞职报告,公司收到辞职报告之日辞任生效。公司将在2个交易日内披露有 关情况。 第四条 董事任期届满进行董事改选时未获连任的,自股东会决议通过选举出 新一届董事会董事之日自动离职。 第五条 股东会根据法律规定或《公司章程》依法决议解任董事的,自决议作 出之日起解任生效。 无正当理由,在任期届满前解任董事的,董事可以要求公司予以赔偿。 深圳市信维通信股份有限公司 董事和高级管理人员离职管理制度 第一章 总则 第六条 除 ...
