广东TCL智慧家电股份有限公司 委托理财内控制度 第一章 总则 第一条 为加强与规范广东TCL智慧家电股份有限公司(以下简称 "公司") 及其控股子公司委托理财业务的管理,有效控制风险,提高投资收益,维护公司 及股东利益,依据《证券法》《深圳证券交易所股票上市规则》《深圳证券交易 所上市公司自律监管指引第7号——交易与关联交易》等法律、法规、规范性文 件的有关规定及《广东TCL智慧家电股份有限公司章程》(以下简称"《公司章 程》"),结合公司的实际情况,特制定本制度。 第二章 基本定义及规定 第二条 本制度所称委托理财是指在国家政策允许的情况下,公司在控制投 资风险的前提下,以提高资金使用效率、增加现金资产收益为原则,委托商业银 行、信托公司等金融机构进行短期低风险投资理财的行为,包括银行理财产品、 信托产品、委托贷款、债券投资、本外币定期存款、协定存款、结构性存款、存 贷无风险套利和外汇理财(套汇)等产品。 公司投资的委托理财产品,不得用于股票及其衍生产品、证券投资基金、以 证券投资为目的的委托理财产品等。 第三条 公司从事委托理财遵循"规范运作、防范风险、谨慎投资、保值增 值"的原则,以不影响公司流动性和 ...
