GS-01-01 股东会议事规则 北京首旅酒店(集团)股份有限公司 股东会议事规则 第一章 总 则 第一条 为保证北京首旅酒店(集团)股份有限公司(下称"公司")股东 会的正常秩序和决议的合法性,提高股东会议事效率,维护全体股东的合法权益, 依据《中华人民共和国公司法(2023 修订)》(下称"《公司法》")、《上市公司股 东大会规则(2022 修订)》及《北京首旅酒店(集团)股份有限公司章程》(下 称"《公司章程》")的有关规定,制定本议事规则。 第二条 本规则适用于公司股东会,对公司、全体股东、股东授权代理人、 公司董事、监事等高管人员及列席股东会会议的其他有关人员均具有约束力。 第三条 公司应当严格按照法律、行政法规、本规则及《公司章程》的相关 规定召开股东会会议,保证股东能够依法行使权利。 公司董事会应当切实履行职责,认真、按时组织股东会会议。公司全体董事 应当勤勉尽责,确保股东会会议正常召开和依法行使职权。 第四条 股东会应当在《公司法》和《公司章程》规定的范围内行使职权。 第五条 股东会会议分为年度股东会会议和临时股东会会议。年度股东会会 议每年召开一次,应当于上一会计年度结束后的 6 个月内举行 ...
